Assistant VP / Vice President, Legal Affairs

We are looking for a commercially-experienced legal counsel to join us in executing our exciting growth plans across Asia and the USA. This role is part of the business team and is expected to actively project-manage investments and technology-related opportunities.

 

Reports to: Chief Operating Officer and Chief Legal Counsel

 

Responsibilities

1. Oversee and/or project manage legal documentation for M&A and investment projects including coordinating due diligence

2. Oversee all legal matters related to the growth and operations of the company, including the development of necessary standards, protocol, governance and policies.

3. Lead and advise on data privacy regulations studies and make recommendations for data management and data governance across growth markets in partnership with external legal counsels

4. Liaising and coordinating with external legal counsel and consultants on relevant matters

5. Conduct legal research and provide / organise regulatory advice, updates and training to staff

6. Recommend recruitment plans where there are gaps in resources as part of the growth plan

7. Lead on all aspects of transaction including the preparation of term sheets, selection of and instructing external counsel in connection with the negotiation

8. Prepare transaction documents such as sales and purchase contract and joint venture agreements in partnership with external legal counsel(s)

9. Maintain good relationship with Mitsui legal offices and external counsels across key growth markets

10. Study and recommend enterprise risk management approaches for new business pillars

11. Support the CEO and COO with assigned projects

Requirements and Qualifications

​

1. Singapore law-qualified (or other similar jurisdiction) and/or in-house legal experience with MNC or established corporates

2. Preferably a minimum of 2 years’ legal practice in an established law firm handling corporate legal matters

3. Team player who can adapt to work independently and within multi-functional teams

4. Self-motivated, task oriented, resourceful and driven to solve problems

5. Solid communication and interpersonal skills to effectively manage key stakeholders

6. Commercially savvy, able to take into consideration a range of business risks and implications when managing projects

7. The ideal candidate should have at least 6 years of experience advising companies in the healthcare and/or technology sector. You should be familiar with:

• mergers and acquisitions (must)

• software licensing agreements (preferred)

• intellectual property law (preferred)

• data privacy and residency regulations (preferred)
